thanks for your answer ... now i feel better :-)  ... I will perform the upgrade action tomorrow and give you a feedback...

I assume that the "free" product key will work on the HP customized version as well ?

how would you do a "BackOut" procedure if the Upgrade fails? ... the ESXi is installed on a RAID1 Array (2x146 SAS Disks) ... I think that I will shut down the server before I change anything and take out a disk ... and perform the upgrade on the degraded RAID1 Array...so I can simply go back if something goes wrong ...

or is this descirbed in the vmware kb smarter?
